TERMS OF SERVICE
Last updated October 11, 2026
Please read first. Tempo is a passion project, not a company. It is in beta, so it will change, and we are working with our users on it together. Use it at your own risk. It is available only in the United States. Do not use Tempo if you need sensitive data protections, and please do not store things like health records, financial account or card numbers, government ID numbers, or passwords in it.
1. Agreement to these terms
These Terms of Service (the "Terms") are an agreement between you, whether personally or on behalf of an entity, and Ian Leaman, a sole proprietor ("Tempo," "we," "us," or "our"). We operate the website temponotes.com, the Tempo for Mac and Tempo for iPhone apps, Tempo Cloud, and related products and services (together, the "Services"). Contact us by email at feedback@temponotes.com.
If you do not agree to all of these Terms, you must not use the Services. If you use the Services on behalf of an organization, you confirm you have authority to bind it. The Services are for people who are at least 18 years old.
2. Successors and assignment
We may transfer these Terms, and all our rights and obligations under them, to a successor, including a limited liability company we form, such as Anti Gravity Labs LLC, or an acquirer of the business. The transfer takes effect when we post notice on the website or email you. You do not need to accept the Terms again. Your rights under these Terms and our Privacy Policy continue with the successor. You may not assign these Terms without our written consent.
3. What Tempo is
Tempo is a notes and CRM app. By default your notes are plain markdown files in folders on your own computer. Tempo Cloud is an optional service that syncs and shares your workspace. You may connect your own AI agents to Tempo using MCP, and speech-to-text and summaries in the apps run locally on your device with local models.
4. Beta service
Because Tempo is in beta, it will change, and we are working on a collaborative process with our users. We charge a small amount for it. Features, limits, pricing and design may change or be removed, the Services may have bugs or outages, and data loss is possible, so keep your own copies of anything that matters.
You can cancel at any time, and the cancellation terms below apply.
5. Accounts
You may need an account to use Tempo Cloud. Sign-in is provided by WorkOS, and you may sign in with Google or GitHub where offered. You must give accurate registration information, keep your credentials confidential, and you are responsible for all activity under your account. We may reclaim or change a username we judge inappropriate.
6. Your content
You own the notes, files, contacts and other content you create or store with the Services ("Your Content"). Files stored only on your computer stay on your computer. For content you put in Tempo Cloud, you give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process and display it as needed to provide, secure, support and improve the Services. We do not sell Your Content. You are responsible for Your Content and confirm you have the right to store it, including any personal information about other people that you add to the CRM.
AI training. We may use Your Content stored in Tempo Cloud, and usage data from the Services (information about how you use the app, such as events and error reports), for AI training or labeling purposes. We do not use files that exist only on your computer. You can turn this off at any time in Settings → Privacy, and it will apply to content from that point on. In a team workspace, the Owner controls this setting for the workspace's content. The Privacy Policy describes this in more detail.
Feedback. If you send us ideas, comments or suggestions about the Services, we may use them without compensation or credit to you.
7. Team workspaces
A team workspace belongs to its organization. The Owner of the workspace controls its members, billing and whether it is archived, and can see and manage the content in it. If you join a workspace owned by someone else, the Owner's terms for that workspace apply alongside these Terms. If you move a personal workspace into a team plan, unused paid time on the personal workspace becomes account credit that is applied when the team plan starts paying.
8. Connecting your own AI agents
You may connect AI agents or other tools to Tempo, for example through MCP. We do not control those tools. When an agent reads or writes content in Tempo, the company that runs the agent handles that content under its own terms and privacy policy. You are responsible for what you connect, the permissions you give it, and what it does with Your Content.
9. Payments, free trial and subscriptions
Prices. Tempo costs $5 per member per month or $50 per member per year, in US dollars, plus applicable sales tax. We accept payment cards through Stripe. Stripe handles your card details, and Tempo never sees your card numbers.
Free trial. Each workspace gets a 14-day free trial. A payment card is required to start the trial. When the trial ends we charge your card for the plan you chose.
Auto-renewal. Your subscription renews automatically each month or year until you cancel. You authorize us to charge your payment method for each renewal and any added members, without asking for approval each time.
Adding members. When you add a member, we charge the prorated amount for the rest of the current billing period immediately.
Cancelling. You can cancel at any time in the app or by emailing feedback@temponotes.com. Cancelling stops future renewals, and you keep access until the end of the period you have paid for.
Refunds. We do not give refunds for partial billing periods. Where a personal workspace has unused paid time and a team plan starts paying, that time becomes account credit as described above. Nothing here limits refunds that the law requires.
Failed payment or ended subscription. If a payment fails or a subscription ends, the workspace becomes view-only. We do not delete anything because of this. You can still read and export your content.
Price changes. Because Tempo is in beta, pricing and plans will change. We will try to give you notice, and you can cancel any time.
10. Software and license
We grant you a personal, revocable, non-exclusive, non-transferable license to install and use the apps on devices you own or control, and to use the Services, in line with these Terms. You may not copy, modify, decompile, reverse engineer or resell the software, or use it to build a competing product, except where the law allows. The software is provided "AS IS." Our intellectual property, including the software, marks and website content, belongs to us or our licensors, and we reserve all rights not expressly granted.
11. Acceptable use
You agree not to use the Services to:
- store, share or transmit illegal content, or content that infringes someone else's rights;
- upload or spread malware, or interfere with or overload the Services;
- harass, abuse, threaten or defraud anyone;
- break, probe, bypass or test the security of the Services without our written permission;
- scrape or extract data from the Services, or access them by automated means other than the tools and APIs we provide;
- resell, sublicense or provide the Services to third parties as a competing service;
- impersonate another person or create accounts by automated means or under false pretenses;
- use the Services in violation of any law.
Business use of Tempo by you and your team is allowed.
12. Suspension and termination
We may suspend or end your access, or your workspace, if you break these Terms or the law, if your use puts the Services or other people at risk, or if payment fails as described above. When we can, we will tell you first. You may stop using the Services at any time.
13. Deleting your account and data
To delete your account, email feedback@temponotes.com. Pages you delete are kept for 30 days and then removed. After you delete your account, content we host is removed once that 30-day window has passed. We may keep limited records where the law requires, or to prevent fraud and resolve disputes. You may export your content as plain markdown at any time.
14. Changes to the Services and to these Terms
We may change, suspend or stop any part of the Services. We may update these Terms at any time and will post the new version with a new "Last updated" date. Please check these Terms from time to time. By continuing to use the Services, you agree to the Terms as they stand at that time. If you do not agree, stop using the Services and cancel.
15. Governing law
These Terms are governed by the laws of the State of New York, without regard to conflict of law rules.
16. Dispute resolution
Informal first. Before starting a formal proceeding, each side agrees to try to resolve a dispute informally for at least 30 days after written notice. Send notice to feedback@temponotes.com.
Where disputes go. If a dispute is not resolved, either side may bring an individual claim in small claims court, or in the state or federal courts located in New York County, New York. Both sides agree to those courts and to New York law.
No class actions. Disputes are resolved one person at a time. To the extent the law allows, there are no class, collective or representative actions, and no joining of claims.
17. Corrections
The Services may contain typographical errors or inaccuracies, including in descriptions and pricing. We may correct them at any time.
18. Disclaimer
THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU USE THE SERVICES AT YOUR OWN RISK. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT ANY CONTENT, INCLUDING OUTPUT FROM LOCAL OR THIRD-PARTY AI, WILL BE ACCURATE. WE ARE NOT RESPONSIBLE FOR THIRD-PARTY SERVICES YOU CONNECT, INCLUDING AI AGENTS.
19. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE OR LOSS OF DATA. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR US$100. SOME LAWS DO NOT ALLOW THESE LIMITS, SO THEY MAY NOT APPLY TO YOU.
20. Indemnification
You agree to defend, indemnify and hold us harmless from claims, losses and costs, including reasonable attorneys' fees, brought by a third party because of your use of the Services, your breach of these Terms, Your Content, or your violation of a third party's rights. We may take over the defense of any matter at your expense, and you agree to cooperate.
21. Your data and backups
We back up Tempo Cloud on a routine basis, but you are responsible for keeping copies of content that matters to you. To the extent the law allows, we are not liable for loss or corruption of data, including in beta.
22. Apple and Google app stores
If you get an app from the Apple App Store or Google Play, these terms apply to you in addition to the above: this license is limited to devices that use the Apple iOS, macOS or Android operating system, as applicable, under the store's usage rules; we, and not Apple or Google, are responsible for maintenance and support of the app; if the app fails to meet a warranty, you may notify the store, which may refund the purchase price if any, and has no other warranty obligation; you are not in a country under a US embargo and are not on a US list of prohibited parties; and Apple and Google are third-party beneficiaries of this section and may enforce it against you.
23. Electronic communications
You consent to receive notices and records from us electronically, including by email and on the Services, and agree that they satisfy any legal requirement that they be in writing. You agree to electronic signatures, contracts and records.
24. General
These Terms, with our Privacy Policy and any other policies we post, are the entire agreement between you and us. If we do not enforce a right, we have not waived it. If a part of these Terms is unenforceable, the rest stays in effect. Neither party is liable for delays caused by events beyond its reasonable control. No partnership, employment or agency relationship is created by these Terms. These Terms will not be read against us because we drafted them.
